Air2Web, a venture-backed provider of mobile marketing technology and services, is merging with MindMatics AG, a privately held firm based in Munich, Germany.

Air2Web closed on $25 million in new funding in September of 2006 with The Carlyle Group leading the investors. Vantage Point and United Parcel Services are also among Air2Web’s backers.

Financial details of the merger were not disclosed.

The combined company will be a “pure-play” focused on mobile marketing, the firms said in a statement. It will have offices in 15 cities across three continents with some 300 employees.

“Consumer adoption of wireless technologies is increasing exponentially, creating unique opportunities for brands and marketers to reach customers through this channel. As the market becomes more aware of the various suppliers and their capabilities, customers demand a proven leader with a broader array of products, services, global coverage, and carrier-grade scale and reliability,” said Air2Web Chief Executive Officer Sanjoy Malik.

“MindMatics has an impressive set of blue-chip customers in Europe, which added to Air2Web’s customer base, creates unmatched coverage around the world,” he added. “This merger solidifies our leadership position in mobile marketing, and creates important synergies and opportunities for our customers, employees and investors.”

Malik will run the merged company. Ingo Lippert, MindMatcis’ CEO, will act as managing director of European business.

The deal is expected to close within a month.
